Board’s Oversight of Unethical Conduct

Asia Cement Corporation has established the Measures for Reporting and Investigating Unethical Conduct. Employees, customers, suppliers and other external parties are encouraged to report in good faith actual or suspected illegal, unethical or dishonest conduct, bribery, or reasonable suspicions of violations or exploitation of weaknesses in the anti-bribery management system. The Secretarial Office and Audit Office receive reports, while the Audit Committee and the head of the Audit Office are responsible for investigating reported cases. The Audit Office reports to the Board of Directors and oversees the reporting and investigation process to safeguard its independence and objectivity.

1. Reports may be made verbally, by email or in writing to the Audit Committee, department heads, personnel units at each plant, the Corporate Governance Officer, or directly to the designated reporting units.
2. The Company keeps reporters’ identities and report contents confidential and protects reporters from improper treatment arising from a report. An independent reporting mailbox, hotline and reporting form are available on the Company’s website and intranet. Reporters should complete the Reporting Form for Unethical Conduct and provide specific supporting evidence.

• Acceptance department

The Secretarial Office and Audit Office receive reports submitted through the various channels, forward the information to the investigation team, and track the subsequent handling of each case.

• Investigation team

The Audit Committee and the head of the Audit Office handle and investigate reported cases. For substantiated cases, they prepare a written report and deliver it confidentially to the reporter, the reported person and the reported person’s direct supervisor.
